T-Mobile’s UScellular Merger Final Phase: Customers on T-Mobile Terms

Regulatory filings and corporate updates confirm that T-Mobile’s acquisition and integration of UScellular’s wireless operations first announced in May 2024 and closed in August 2025 is now entering its final implementation phase, with customer transitions and network unification actively underway.

T-Mobile completed the purchase of **substantially all of UScellular’s wireless operations including customers, retail stores and certain spectrum assets in a roughly $4.3 billion deal (including assumed debt) that closed on August 1, 2025. As part of the integration, T-Mobile also entered into long-term license and lease agreements to continue using a large portion of UScellular’s network infrastructure.

Customer Transition & Service Terms

• UScellular customers were officially moved onto T-Mobile’s terms and conditions on December 2, 2025, marking a key milestone in alignment of billing, plans and service policies under the T-Mobile umbrella.
• Following that transition, UScellular customers are now able to access T-Mobile plans and network benefits, including 5G coverage, enhanced roaming options and value-added perks associated with T-Mobile’s offer set.
• Many customers remain on their legacy plans temporarily, but they can now opt into T-Mobile’s unlimited plans and benefits at any time, unlocking perks like streaming bundles, international roaming and other “Un-carrier” extras.

Network Integration Progress

• Although the wireless business was legally acquired and customers formally transitioned, technical integration of the networks continues throughout late 2025 and into early 2026 as systems, billing platforms and spectrum resources are consolidated.
• Reciprocal roaming arrangements and joint network broadcasting have already begun in many areas, and infrastructure is gradually being unified so that UScellular sites broadcast as part of the T-Mobile network.
• Regulatory filings with the FCC and ongoing spectrum assignment processes show work continuing behind the scenes to complete transfers of authorizations and prepare for full operational consolidation.

Regulatory Background & Approval

• The transaction received cleared regulatory approval from both the U.S. Department of Justice Antitrust Division and the Federal Communications Commission, allowing T-Mobile to integrate much of UScellular’s assets and spectrum into its nationwide footprint.
• UScellular’s remaining spectrum and towers are being retained by its successor entity Array Digital Infrastructure, which will lease capacity to T-Mobile under long-term agreements.
